Articles of Incorporation

Article I

THE NAME OF THIS CORPORATION IS "SAN FRANCISCO COALITION FOR BETTER HOUSING."

Article II

The purposes for which this corporation is formed are:

A. The specific and primary purpose of this corporation is to improve and protect the standards of housing for all the people of San Francisco.

The general purposes and powers are:

B. To buy, lease, rent, or otherwise acquire, hold or use, own, enjoy, sell, exchange, lease as lessor, mortgage, deed in trust, pledge, encumber, transfer in trust, or otherwise dispose of any and all kinds of property, whether real, personal, or mixed, and to receive property by devise, bequest or gift.

C. To enter into, make or perform and/or carry out contracts of every kind, for any lawful purpose, and without limit on amount with any person, firm or corporation; and

D. To have and to exercise all the powers conferred by the California General Non-Profit Corporation Law on non-profit corporations, as that law is now in effect or may at any times hereafter be amended.

Notwithstanding any of the above statements of purposes and powers, this corporation shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the primary purpose of this corporation.

Article III

This corporation is organized under the General Non-Profit Corporation Law of the State of California. This corporation does not contemplate pecuniary gain or profit to the members thereof, and it is organized for non-profit purposes.

Article IV

The principle office for the transaction of the business of this corporation is located in the County of San Francisco, State of California.

Article V

A. The number of Directors of the corporation shall be eight (8). The number of directors may be changed from time to time by amendment of the Articles of Incorporation of this corporation, or by a bylaw of this corporation adopted by the vote or written consent of the members of the corporation entitled to exercise a majority f the voting power, or by a majority vote at a meeting of members called pursuant to the Bylaws of this corporation at which a quorum is present.

B. The names and addresses of the persons who are to act in the capacity of directors until the selection of their successors are:

Article VI

The authorized number and qualifications of the members of this corporation, the different classes of membership, if any, the voting and other rights and privileges of members, and the obligations of members shall be as set forth in the bylaws of this corporation.

Article VII

This corporation is not organized, nor shall it be operated, for pecuniary gain or profit, and it does not contemplate the distribution of gains, profits, or dividends to its members and is organized solely for non-profit purposes. No part of the net earnings of the corporation shall inure to the benefit of any private individual.

Upon the dissolution or winding up of the corporation, its assets remaining after payment of, or provision for payment, of all debts and liabilities of this corporation, shall be distributed to a non-political, non-profit fund, foundation or corporation which has established its tax exempt status under Section 501(c)(3) of the Internal Revenue Code.
